Content, Social Media & Meta Ads Management – Terms & Conditions
1. Scope of Services
BY MUSE (“MUSE”, “we”, “our”) provides content creation, social media management and paid advertising support as outlined in the client’s approved proposal or service package.
Unless expressly stated in writing, our services do not include full marketing management, business strategy, sales strategy, PR, or operational decision-making.
All services are delivered based on:
Information supplied by the client
Approved timelines and budgets
Platform availability and performance
Professional judgement and industry best practice
2. Contract Term & Commitment
All social media management engagements require a minimum commitment of three (3) to six (6) months, as specified in the client’s proposal.
This minimum term allows sufficient time for strategy implementation, optimisation and performance analysis.
Early termination does not waive payment obligations for the minimum commitment period unless agreed in writing.
3. Invoicing & Payment Terms
Clients are invoiced one (1) month in advance for all ongoing services.
Payment must be received prior to the commencement of each service period.
Late or unpaid invoices may result in paused services, delayed posting or suspension of advertising activity without liability to MUSE.
4. Social Media Manager vs Marketing Responsibility
Role of BY MUSE (Social Media Manager)
BY MUSE acts as a Social Media Manager, responsible for:
Social content planning and scheduling
Platform-specific social media strategy
Caption copywriting, hashtag SEO and post optimisation
Community engagement (where included)
Performance reporting related to social channels
We execute strategy through social media platforms only, based on information provided to us.
Client Marketing Responsibility
The client retains full responsibility for their overall marketing plan, including:
Business and brand strategy
Pricing, promotions, campaigns and offers
Event planning, launches and deadlines
Broader marketing activity outside of social media
The client must clearly communicate all marketing initiatives, changes and priorities to the MUSE team so they can be reflected within social media strategy.
BY MUSE cannot be held liable for:
Missed opportunities due to uncommunicated marketing activity
Incomplete or late information
Outcomes impacted by decisions made outside of social media
5. Performance Disclaimer – Marketing Context
The client acknowledges that social media is one component of a broader marketing ecosystem.
While BY MUSE may contribute to visibility, engagement and awareness:
Social media alone does not guarantee business growth or sales
Overall marketing success depends on multiple factors, including advertising, pricing, customer experience, sales processes and broader brand activity
The client is responsible for ensuring their business maintains a holistic marketing approach beyond social media.
6. Client-Supplied Information & Accuracy
The client warrants that all information provided to BY MUSE is:
Accurate
Current
Approved for public use
This includes (but is not limited to):
Event details, dates, times and pricing
Menus, promotions, offers and disclaimers
Brand assets, usage rights and approvals
BY MUSE is not liable for:
Errors arising from incorrect or incomplete information
Loss caused by late, missing or changed information
Compliance or legal issues relating to client content
7. Content Scheduling, Changes & Missing Posts
While every effort is made to maintain consistent posting:
All posts are subject to change due to approvals, platform issues, algorithm changes or client requests
Occasional missed, delayed or rescheduled posts may occur and do not constitute breach of contract
BY MUSE is not liable for loss of reach, engagement or revenue due to posting variations
8. Meta Ads Management
Where Meta Ads (Facebook & Instagram advertising) are included:
BY MUSE manages ad setup, creative, targeting and optimisation based on client objectives and budget
Advertising spend is separate from management fees and paid directly by the client to Meta
BY MUSE does not guarantee ad performance, sales or return on ad spend
The client acknowledges:
Ad results are influenced by budget, competition, market conditions, creative quality and landing pages
Platform policy changes, ad rejections or account restrictions are outside MUSE’s control
BY MUSE is not liable for:
Account bans, ad disapprovals or platform errors
Performance issues related to landing pages, websites or third-party systems
Delays caused by unpaid ad spend or restricted accounts
9. Reporting & Results
All reports provided by BY MUSE are:
Indicative and informational only
Based on available platform data
Not guarantees of future performance
10. Intellectual Property
All creative assets, templates and strategies remain the property of BY MUSE until full payment is received
Upon payment, the client is granted a licence to use content for agreed purposes
BY MUSE may showcase content for portfolio and promotional use unless otherwise agreed in writing
11. Indemnity
The client agrees to indemnify and hold harmless BY MUSE from any claims, damages or losses arising from:
Client-supplied materials or instructions
Breach of laws, regulations or platform policies
Third-party claims related to the client’s business
12. Passwords, Access & Account Security
To ensure secure and efficient account management:
The client agrees to provide BY MUSE with required access to relevant platforms (including but not limited to Meta Business Manager, Instagram, Facebook, Google, websites and email marketing platforms) via Google Password Manager (Google Passwords) or another secure, password-protected system approved by MUSE.
Passwords must not be shared via email, SMS, WhatsApp or unsecured documents.
BY MUSE will:
Store and access login credentials using secure password management practices
Take reasonable steps to protect client account information
Limit access to authorised MUSE team members only
The client acknowledges that:
BY MUSE cannot be held liable for account breaches, unauthorised access or security issues resulting from passwords shared outside approved systems
The client remains the primary owner and controller of all accounts
The client is responsible for updating passwords, removing former staff access and maintaining internal security protocols
Where account access is delayed, revoked or compromised:
BY MUSE is not responsible for service delays, missed posts, ad interruptions or performance impacts
Additional time required to resolve access issues may be billable
13. Limitation of Liability
To the maximum extent permitted under Australian law:
BY MUSE’s liability is limited to the fees paid for the relevant service period
We are not liable for indirect, incidental or consequential losses
14. Acceptance
Engaging BY MUSE services constitutes acceptance of these Terms & Conditions.
